1. Agreement to Terms
By accessing or using any services, websites, portals, or software products provided by Diwansoft Technologies W.L.L. ("Diwansoft", "we", "our", or "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use our services.
These Terms constitute a legally binding agreement between you (the "Client" or "User") and Diwansoft, governing your access to and use of all enterprise technology services, including but not limited to: mainframe modernization, AI/ML integration, cloud migration, cybersecurity consulting, and digital transformation services.
2. Services Description
Diwansoft provides enterprise-grade technology services including:
- Mainframe modernization and COBOL/CICS migration
- Artificial Intelligence and Machine Learning integration
- Cloud platform migration (AWS, Azure, GCP)
- Cybersecurity architecture and managed security services
- Enterprise data platform design and implementation
- Digital transformation consulting and delivery
Specific service terms, deliverables, timelines, and SLAs are governed by individual Statement of Work (SOW) documents or Master Service Agreements (MSA) signed between Diwansoft and the Client.
3. Intellectual Property Rights
All intellectual property developed by Diwansoft prior to or independently of any engagement — including proprietary frameworks, tools, methodologies, accelerators, and platform assets — remains the exclusive property of Diwansoft.
Deliverables produced specifically for a Client under a signed agreement vest in accordance with the IP allocation terms specified in that agreement. Unless explicitly stated otherwise in a signed SOW, Diwansoft retains a perpetual, royalty-free license to use non-proprietary knowledge, patterns, and techniques derived from any engagement.
4. Confidentiality
Diwansoft treats all Client information, data, and systems as strictly confidential. We operate under non-disclosure obligations that meet or exceed industry standards for mission-critical enterprise environments.
Clients are equally required to maintain the confidentiality of Diwansoft's proprietary methodologies, commercial proposals, pricing structures, and technical approaches shared during pre-sales and delivery phases.
5. Data Protection & Privacy
Diwansoft processes personal data in compliance with applicable data protection regulations, including but not limited to:
- Qatar Personal Data Protection Law (PDPL)
- UAE Federal Data Protection Law (PDPL No. 45 of 2021)
- Saudi Arabia Personal Data Protection Law (PDPL)
- EU General Data Protection Regulation (GDPR)

6. Service Level Agreements
Where Diwansoft provides managed services or maintains production systems, uptime commitments, response time SLAs, and escalation procedures are governed by the specific MSA or SLA addendum signed with the Client. Standard infrastructure SLAs guarantee 99.9% or higher availability depending on service tier.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Diwansoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, revenue, data, goodwill, or business opportunities.
Diwansoft's total liability for any claim arising under these Terms shall not exceed the fees paid by the Client to Diwansoft in the three (3) months preceding the claim.
8. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Qatar. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Qatar, without prejudice to Diwansoft's right to seek injunctive relief in any jurisdiction.
9. Amendments
Diwansoft reserves the right to amend these Terms at any time. Material changes will be communicated to active Clients with a minimum of thirty (30) days' notice. Continued use of services after the effective date of amendments constitutes acceptance of the updated Terms.
